By accessing or utilizing services from UNCLE JESSE'S ALWAYS AVAILABLE LLC ("Service Provider," "we," "us," "our," or "Uncle Jesse"), you ("Client," "you," "your") enter into binding legal agreement. This document establishes all terms, conditions, limitations, and operational parameters governing your service relationship. Continued access to our system constitutes acceptance of all terms herein.
Service Provider specializes in technical consulting across multiple domains:
Service scope determined by executed statement of work. Additional services negotiated separately.
Engagement pricing calculated via cost estimation algorithm: (Base Rate × Service Multiplier × Urgency Factor) + Travel Allocation. Invoicing occurs upon project completion or milestone achievement. Payment accepted via Stripe platform within 30 days of invoice date. Late payment subject to 1.5% monthly interest charge (18% APR). Service suspension authorized for overdue balances exceeding 60 days.
SERVICE PROVIDED "AS-IS": Services delivered without express or implied warranties. Provider makes no guarantee regarding specific outcomes, system compatibility, or performance results. Client assumes all risk associated with service implementation.
LIABILITY CAP: Provider total liability shall not exceed fees paid within 12-month period preceding claim. Provider not liable for: indirect damages, consequential damages, lost profits, business interruption, data loss, or punitive damages.
CLIENT INDEMNIFICATION: Client agrees to defend and hold harmless Service Provider from all third-party claims arising from Client's use of services or implementation decisions.
Service Provider retains all intellectual property rights in methodologies, templates, and pre-existing systems. Client receives limited license for purchased deliverables only. Client retains ownership of custom data inputs. Code delivered as work product subject to ownership transfer upon final payment completion.
Client shall not: use services for illegal activities, unauthorized access, malware distribution, competitive intelligence gathering, or services resale. Violation authorizes immediate service termination and legal remedies.
Both parties maintain confidentiality of proprietary information disclosed during engagement. Restrictions survive termination for three-year period. Exceptions: publicly available information, independently developed information, information required by law.
Service Provider reserves right to modify terms with 30-day notice. Service Provider may terminate for: non-payment, material breach, or legal obligation. Client may terminate with 14-day notice and applicable termination fees.
This agreement governed by applicable federal and state law. Any disputes submitted to binding arbitration before resorting to litigation. Arbitration conducted by neutral third-party arbitrator. Prevailing party entitled to recover attorney fees and costs.
